Creditor claims, surplus proceedings and claim valuation.

General educational material for institutional and commercial creditors. This content is not legal advice and does not address any individual situation.

Foreclosure Surplus

When a foreclosure sale generates proceeds above the foreclosing obligation, the excess is surplus. Who is entitled to it, and in what order, is determined by applicable law and, where applicable, the court.

Creditor Priority

Priority determines the order in which claims are paid from available proceeds. It is jurisdiction- and case-specific, and must be verified, never assumed from recording order alone.

Junior Liens

Subordinate mortgages, association liens, assessment liens and other junior interests may, depending on the jurisdiction and the effect of the foreclosure, give rise to a claim against surplus proceeds.

Judgment Liens

A valid, unsatisfied judgment may attach to property and, in some structures, to surplus. Validity, perfection, timing and survival through foreclosure are separate questions, each requiring verification.

Surplus Proceedings

Many jurisdictions require a defined procedure to determine entitlement to surplus, including notice, claim filing and court determination of amounts and priority among claimants.

Claim Assignments

Assignment of a judgment, a lien, a specific surplus claim and proceeds are distinct legal acts. One does not automatically effect the others. Transferability and required procedure vary by jurisdiction.

Creditor Liquidity

A valid claim is an asset, but not a liquid one. Collection may require counsel, filings, administration and months of waiting, with recovery risk throughout. A purchase converts the claim into a defined price today.

Claim Valuation

Value is measured against verified expected recovery, adjusted for collection probability, timing, legal and administrative cost, capital cost and claim-specific risk, not against face value.

Portfolio Sales

Organizations holding multiple claims can sell at portfolio level: schedule upload, claim-level verification, portfolio underwriting, indicative pricing, due diligence and a single purchase agreement.

Specialty Finance

Claims investing sits within specialty finance: principal-capital underwriting of legal and procedural risk, priced against probability-adjusted recovery rather than nominal balances.
